1. Acceptance of Terms

Welcome to PsIA. These Terms of Use ("Terms") govern your access to and use of PsIA's website, services, and platform (collectively, the "Service") operated by Psynovation ("PsIA," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including mental health professionals who may use our AI-powered tools.

2. Description of Service

PsIA provides secure AI tools designed specifically for mental health professionals to:

• Streamline administrative tasks and documentation

• Support clinical decision-making and assessment

• Enhance therapeutic effectiveness through data insights

• Facilitate professional development and learning

Our Service is currently in pre-launch phase, and we may modify, suspend, or discontinue any aspect of the Service at any time.

3. Eligibility and Registration

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are a mental health professional, you represent that you are licensed or authorized to practice in your jurisdiction and will use the Service in accordance with applicable professional standards and regulations.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations

• Upload, transmit, or share any content that is harmful, threatening, abusive, or violates privacy rights

• Attempt to gain unauthorized access to the Service or other users' accounts

• Use the Service to provide direct patient care without appropriate human oversight

• Share or distribute any AI-generated content without proper attribution and verification

• Reverse engineer, decompile, or attempt to extract source code from the Service

5. Professional Responsibility

If you are a mental health professional using our Service:

• You remain solely responsible for all clinical decisions and patient care

• AI-generated insights and recommendations are tools to support, not replace, your professional judgment

• You must comply with all applicable professional ethics codes and regulations

• You are responsible for maintaining appropriate confidentiality and security of patient information

• You must obtain appropriate consent from clients before using AI tools in your practice

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that any data you input into the Service complies with applicable privacy laws and professional obligations.

We implement appropriate technical and organizational measures to protect your data, but you acknowledge that no system is completely secure.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of PsIA and its licensors.

You retain ownership of any content you submit to the Service, but you grant us a license to use, modify, and process such content to provide the Service.

You may not use our trademarks, logos, or other proprietary information without our express written consent.

8. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

AI-generated content may contain errors or inaccuracies. You are responsible for verifying and validating all AI outputs before relying on them.

We are not liable for any decisions made based on AI-generated insights or recommendations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless PsIA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any rights of another party

• Your professional practice and clinical decisions

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

You may terminate your account at any time by contacting us or using account deletion features when available.

Upon termination, your right to use the Service will cease immediately, and we may delete your account and data in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Quebec.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.
